Terms of Service

These Terms set out the conditions for using OmniComposer (the “Software”) and its related services (together, the “Service”).

Article 1 (Scope)

These Terms apply to all relationships concerning use of the Service provided by ADA Software (the “Company”). By installing the Software or using the Service, you are deemed to have agreed to these Terms.

Any separate explanations or notices the Company posts on this website form part of these Terms. If such separate provisions conflict with these Terms, the separate provisions prevail.

This is a reference translation. In the event of any discrepancy, the Japanese version shall prevail.

Article 2 (Account)

  • Some features of the Service, including AI composition, license activation, and monthly AI usage add-ons, require signing in with a Company account.
  • You must keep your registration information accurate and up to date.
  • You are responsible for managing your account and credentials. You may not lend, share, or transfer them to any third party.
  • Except where attributable to the Company, the Company is not liable for any damage arising from unauthorized use of your account.

Account registration and management are also subject to the WizStudio Terms of Service. If this Agreement and the WizStudio Terms of Service differ, this Agreement shall prevail with respect to use of the Service.

Article 3 (Free Trial)

The Company provides a trial period during which you may use the DAW features of the Software free of charge for seven days. Trial AI features are available only through Codex / Claude Code. The trial period runs once per account, calculated from the time your account was created. Account registration and sign-in are required to use the trial.

Please refrain from repeatedly obtaining trial periods by creating multiple accounts or by other means. If the Company confirms such conduct, it may discontinue providing the trial period.

To continue using the Service after the trial ends, you must purchase a license. If you do not purchase one, the features it covers will become unavailable.

Article 4 (Fees and Payment)

  • OmniComposer costs USD 13 per month and renews automatically until canceled. Stripe may display and charge a supported local currency based on the customer’s location.
  • AI features are subject to the rate limits of the active plan. After the first payment, editing, playback, and export remain available after cancellation. AI features require an active subscription.
  • Regular AI allowance renews on the monthly billing date and does not roll over. Active subscribers may purchase one monthly allowance for US$29. With 50% remaining, a purchase brings the total to 150% without changing the renewal date. Purchased allowance is stored separately, used after the regular allowance, and carries over without expiry. An active OmniComposer subscription is required to use it. Older products retain their original expiry dates.
  • Fees are paid through a payment processor designated by the Company.
  • Except as required by law or where attributable to the Company, fees already paid are non-refundable. Please confirm operation and features during the free trial before purchasing.
  • If the Company changes fees, it will give at least 30 days’ prior notice on this website or by email.

Article 5 (License)

The Company grants you a non-transferable, non-exclusive right to use the Software in accordance with these Terms. Copyright and other intellectual property rights in the Software belong to the Company or the rightful owners and are not transferred to you.

You must not:

  • Copy, distribute, sublicense, lend, or sell the Software.
  • Reverse engineer, decompile, or disassemble the Software (except to the extent expressly permitted by law).
  • Circumvent license authentication, usage limits, or other technical restrictions.

License authentication limits the number of devices that may be used at the same time. If you exceed the limit, deactivate authentication on an existing device.

Article 6 (AI Generation Features)

The Service’s AI composition feature sends prompts you enter and project information needed for generation (such as tempo, time signature, key, and existing note data) via the Company’s servers to external generative AI providers and returns their responses. However, if you use the feature with your own API key, this information is sent directly to the external service without passing through the Company’s servers. See the Privacy Policy for details.

  • MIDI and musical data you generate with the Service may be used freely, including for commercial purposes. The Company claims no rights in such outputs.
  • Because of the nature of generative AI, similarity to existing works cannot be fully ruled out. You are responsible for ensuring that your use of outputs does not infringe third-party rights.
  • The Company does not warrant the originality, quality, or fitness for a particular purpose of outputs, or that they will not infringe third-party rights.
  • AI features may be subject to usage limits depending on your plan.
  • If you use the feature with your own API key, the terms and costs of that external service are your responsibility.

Article 7 (Prohibited Conduct)

In using the Service, you must not:

  • Violate any law or public order and morals.
  • Infringe the intellectual property, privacy, reputation, or other rights of the Company or any third party.
  • Place excessive load on the Service’s servers or network, gain unauthorized access, or otherwise interfere with operations.
  • Resell or redistribute information obtained through the Service without the Company’s permission.
  • Engage in any other conduct the Company reasonably deems inappropriate.

If you violate this Article, the Company may, without prior notice, suspend use of the Service or suspend or delete your account.

Article 8 (Changes, Suspension, and Termination of the Service)

The Company may change the content of the Service or discontinue providing it. In cases of system maintenance, outages, natural disasters, or other unavoidable circumstances, the Company may suspend all or part of the Service without prior notice.

If the Company terminates the Service as a whole, it will give reasonable prior notice.

Article 9 (Disclaimer of Warranties and Limitation of Responsibility)

The Company does not warrant that the Service will be uninterrupted, free of errors, or fit for your particular purpose.

The Software interoperates with third-party VST plug-ins, sound sources, audio drivers, and similar products. The Company is not liable for the operation or quality of such third-party products, or for defects arising from combinations with them.

You are responsible for backing up project data you create. Except where attributable to the Company, the Company is not liable for loss or corruption of data.

If you qualify as a consumer under the Consumer Contract Act of Japan (消費者契約法), the provisions of this Article do not apply to the extent they are invalidated by that Act or other mandatory laws.

Article 10 (Limitation of Liability)

Except in cases of willful misconduct or gross negligence by the Company, the Company’s total liability to you in connection with the Service is limited to the total fees you paid to the Company during the twelve (12) months preceding the occurrence of the damage.

Except in cases of willful misconduct or gross negligence by the Company, the Company is not liable for lost profits or other special damages.

If you qualify as a consumer under the Consumer Contract Act of Japan (消費者契約法), the provisions of this Article do not apply to the extent they are invalidated by that Act or other mandatory laws.

Article 11 (Changes to These Terms)

The Company may amend these Terms when it deems necessary. Amended Terms take effect when posted on this website. For material changes adverse to you, the Company will give at least 30 days’ prior notice on this website or by email before the effective date.

Article 12 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. Any dispute between the Company and you regarding the Service shall be subject to the exclusive jurisdiction of the district court having jurisdiction over the location of the Company’s head office as the court of first instance.

Effective date: July 29, 2026
